These terms cover the registered agent service supplied by Entity Protect Registered Agent Services LLC, trading as NY Registered Agent Services.
The agreement
What you are buying
Scope of service
We act as your registered agent for service of process in New York State. We accept documents served on us on your behalf during ordinary business hours, and we transmit them to the email address you supply. Our address appears on your state filing as the agent's address.
Not a law firm
We do not practise law and nothing we send you is legal advice. We do not review, interpret, or act on the content of documents served on us. When a document needs a lawyer, you need a lawyer.
Not a mail service
The service covers service of process and official correspondence from state agencies. It does not cover general business mail, packages, or deliveries, and we may refuse or return items outside that scope.
Your obligations
Keep a working email address on file with us. Tell us when it changes. Documents transmitted to the address you gave us are treated as delivered, and a mailbox you no longer read is your risk, not ours.
Money
Fees, renewal, and cancellation
The fee
Forty nine dollars for each year of service. State filing fees, such as the $30 Certificate of Change, are separate and passed through at cost.
Renewal
Service renews annually at the same rate. If the rate changes we will notify you in advance of the charge.
Cancellation
You may cancel at any time. Fees already paid for the current year are not refunded. On cancellation you must appoint a replacement agent, and we may resign our appointment with the Department of State as permitted by law.
Suspension
We may suspend or end the service for non-payment, for use of our address outside the scope above, or where continuing would breach law.
Limits
Liability and governing law
Limitation of liability
Our total liability arising from the service is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect or consequential loss, including a default judgment where we transmitted a document to the address you supplied.
Which law applies
These terms are governed by the law of the State of New York, and any dispute is heard in the courts of New York County.
Changes
We may update these terms. Material changes are notified by email before they take effect.
