Service of process in New York

Service of process is how a lawsuit officially reaches your business. New York runs it through the Department of State by default, which is reliable, free, and slower than the deadline it starts.

Definition

What counts as service of process?

Formal delivery of legal documents that start or advance a case against your business. A summons and complaint, a subpoena, a garnishment order, or an enforcement notice.

It is a legal event, not a delivery. Once service is complete the court treats your business as notified, and every deadline in the case begins from that point.

Whether you personally read anything is not part of the test.

Two routes

How a plaintiff serves a New York LLC

  1. Serve the Secretary of State. Two copies of the papers delivered to the Department of State in Albany with a statutory fee. This works against every New York LLC and corporation, always, with no agent needed.
  2. Serve the registered agent, if the company named one. The server goes to the agent's street address and hands the papers over in person.

Most plaintiffs' lawyers pick route one. It is cheap, it cannot fail, and it does not depend on finding anyone at an address.

Which means that even with a private agent appointed, you should expect some service to arrive through Albany rather than through us.

Where the time goes

Your deadline starts when the Department of State is served. The state then mails the papers to your filed address. Every day in transit is a day off your response window.

Walk it through. Day one, the plaintiff serves Albany, and the clock starts. The state processes and mails. The envelope travels. It lands in a lobby, a mailroom, or a pile on a kitchen counter.

Best case you are reading it inside a week. Worst case the address on your filing is two apartments out of date, and you read about the judgment when a bank account is frozen.

The most common failure is not a missing agent. It is an address that was accurate in year one and stale by year four, with nobody remembering that the state still mails there.

What a private agent adds

A staffed street address that takes papers in person and sends you a scan the same business day, instead of an envelope moving through the post at its own pace.

It does not remove the Secretary of State from the picture. Both remain valid targets for service.

What it does is give a plaintiff a faster option and give you a second listening post. When service comes to us, you have the PDF that afternoon with the full response window intact.

It also means the address a process server visits is a commercial office rather than your home. That is worth something on its own.

Damage control

If you were served and missed it

Call a lawyer today, not next week. New York courts can vacate a default judgment where the defendant shows a reasonable excuse and a real defense, and stale service records sometimes qualify. The window for asking is short.

Then fix the input. Check what address the Department of State currently has for your company, and update it if it is wrong. A Certificate of Change costs $30 and takes one filing.

While you are checking, confirm your Biennial Statement is current. A delinquent company is easier to sue and harder to defend.
