What you actually get

A New York street address on the public record, same-day scanning of anything served on us, and deadline reminders before your Biennial Statement and publication window close.

  • Our Manhattan office listed as your agent with the Department of State, so your home address stays off the filing.
  • Service of process accepted in person during business hours, every business day.
  • A scan emailed to you the same day anything arrives. Lawsuits, subpoenas, garnishment notices, state correspondence.
  • A reminder before your Biennial Statement is due, and another before the 120 day publication window closes on a new LLC.
  • Coverage anywhere in New York State. Your business can sit in Buffalo and your agent can sit on Lexington Avenue.

What we do not do is give legal advice. We are not a law firm. When a document needs a lawyer's eyes we say so and get out of the way.

Honest framing

Why pay for something the state does free?

The Secretary of State already accepts service for you at no cost. You pay a private agent for privacy, for speed, and for a human who notices when something urgent arrives.

Section 301 of the Limited Liability Company Law makes the Department of State your agent automatically. It is genuinely free. We would rather you knew that from us than from a competitor's comment section.

Here is what the free version looks like in practice. A plaintiff serves the Department of State in Albany. The state mails the papers to the address printed on your Articles of Organization. That address is searchable by anyone, and the clock on your response started the moment the state was served, not the moment the envelope reached you.

Three things break that chain. You moved. The mail was slow. Nobody opened it.

A private agent under Section 302 puts a staffed office in the middle. We take the papers, scan them, and email you while the day is still useful. The full comparison sits on whether a registered agent is required in New York.

Getting started

How the appointment works

1

New company

We go on your Articles of Organization or Certificate of Incorporation as the agent, and the appointment takes effect when the state accepts the filing. See how to start a New York LLC.

2

Existing company

We file a Certificate of Change with the Department of State. The state fee is $30. Walkthrough on switching your registered agent.

3

Out of state company

Your Application for Authority names a New York agent. We can be that agent from day one. Details on foreign LLC registration.

Worth knowing

What this service does not change

Hiring us does not lower your LLC publication cost. Publication is priced by the county of office on your Articles of Organization, not by your agent's address. Anyone telling you a mailbox cuts that bill is selling you a filing decision you already control.

It also does not exempt you from the Biennial Statement, and it does not make us your mail service. We take legal and state documents. Packages, checks, and general business mail are a different product, and we do not pretend otherwise.

The publication requirement page walks through the six week run, and publication cost by county compares what the published sources claim each county charges. Fee amounts on this page come from the Department of State fee schedule.
