Does New York require a registered agent?

No. In New York the Secretary of State is automatically the agent for service of process for every LLC and corporation. Appointing a private registered agent is optional.

That answer costs us sales, and we lead with it anyway. Most sites in this market will not tell you.

Under Section 301 of the Limited Liability Company Law, the Department of State accepts service on your behalf whether you hire anyone or not. The state then forwards the papers to whatever address sits on your Articles of Organization. That address is public. Anyone with a grudge and a browser can find it.

So the real question is different. Do you want a lawsuit mailed to your apartment on the state's timeline, or scanned to your inbox the afternoon it lands? Section 302 exists so you can choose the second one.

What LLC publication really costs

Published estimates disagree with each other. Only the assigned newspapers can quote you.

Every new New York LLC publishes a notice in two newspapers for six weeks, then files a Certificate of Publication for $50. Published newspaper estimates run from about $100 upstate to about $2,650 in Manhattan.

The county comes from the office county on your Articles of Organization. It does not come from your registered agent's address. Hiring a Manhattan agent does not put you in Manhattan for publication, and a company selling you an Albany mailbox is charging you for a filing decision you already control.

Can I be my own registered agent in New York?

Yes, if you have a physical New York street address and you are there during business hours. The catch is that the address becomes public, and a process server can turn up at it.

What if I miss something served on me?

A default judgment, in the worst case. The court will not care that notice went to an address you moved out of two years ago.

How fast can you take over?

Paperwork goes out the same day. The Department of State posts the Certificate of Change on its own schedule, usually inside a few business days unless you pay to expedite.
